OEM is usually buyer-led: the brand supplies a defined product specification and the manufacturer produces to the approved requirements. ODM generally involves more supplier input into design development or product options. The exact meaning varies by supplier, so define responsibilities in writing.
Clarify who owns artwork and patterns, who selects yarn, who approves fit, which party sources trims, how changes are documented and how confidentiality or IP is handled.
